Solid Waste Disposal Revenue Bonds
(Blue Whale Materials LLC Project)

Notice is hereby given of a public hearing to be held on behalf of the City of Bartlesville, Oklahoma (the “City”), on Wednesday, October 28, 2026, at 8:00 a.m. at 201 S. Keeler Ave., Bartlesville, Oklahoma 74003, with respect to the issuance from time to time as a plan of finance of one or more series of bonds in an aggregate principal amount not to exceed $45,000,000, which may include refundings thereof, by the Bartlesville Development Authority. The proceeds of the bonds will be loaned Blue Whale Materials LLC, or an affiliate thereof or related person thereto (the “Borrower”), to finance or refinance all or part of the cost of acquiring, constructing, rehabilitating, developing, improving and equipping certain capital improvements, infrastructure, land and equipment and pay related financing costs with respect to solid waste collection and processing facilities that constitute industrial or other facilities under the Act and are located in the State, including specifically, financing or refinancing the costs of acquiring, constructing, rehabilitating, developing, improving and equipping capital improvements, equipment, land and infrastructure and paying related financing costs with respect to solid waste disposal facilities related to the recycling of lithium-ion batteries located at 1560 Industrial Boulevard and 7363 International Road, Bartlesville, Oklahoma, including an approximately 100,000 square feet processing facility, and an approximately 50,000 square feet of warehouse/storage facilities and other real and personal property as a related plan of finance (together, the “Project”). The initial owner or operator of the Project will be the Borrower.
The public hearing will be conducted by an authorized representative of the Bartlesville Development Authority. All interested persons are invited to attend such public hearing to express their views with respect to the Project and the Bonds. This notice is published and the hearing is to be held in satisfaction of the requirements of Section 147(f) of the Internal Revenue Code of 1986, as amended.
